  5.   VIScorp USA and Escom AG Announce Letter of Understanding for Acquisition of
  6.   Amiga Technologies by VIScorp
  7.   
  8.      Heppenheim, Germany and Chicago, IL, April 12, 1996 -- ESCOM AG, a
  9.       German computer manufacturer and reseller and Visual Information
  10.        Services Corp. (Nasdaq: VICP, Bulletin Board), a developer of
  11.       interactive TV (ITV) set-top-boxes to enhance television use and
  12.      viewing by providing Internet access and electronic communications
  13.          function, today jointly announced that a binding letter of
  14.             understanding has been signed between the companies.
  15.                                       
  16.       The letter states that Chicago-based VIScorp would acquire Amiga
  17.      Technologies, including the intellectual properties of the former
  18.       Commodore Business Machines, excepted Commodore trademarks. The
  19.      transaction value is approximately US $40 million. Terms were not
  20.    disclosed, and the pending acquisition would be subject to approval by
  21.                     both companies' boards of directors.
  22.                                       
  23.      "This intended acquisition is part of VIScorp's strategy to build
  24.      market leadership in the fast-growing field of ITV", said William
  25.       Buck, Chief Executive Officer. "As a result, we would own Amiga
  26.    intellectual properties, including several that are currently used in
  27.     our set top-box, Electronic Device (ED(). We would also have control
  28.     over the supplied chip sets used in ED as well as Amiga inventories
  29.    and access to the company's current sales and distribution channels."

  31.     Commenting the proposed acquisition, Helmut Jost, chief executive of
  32.     ESCOM AG, said: "VIScorp has a clear vision of the Amiga technology
  33.       potential for ITV applications. We are eager to support and work
  34.      together over the term of the letter of understanding to ensure a
  35.     smooth transition between the two companies. VIScorp anticipates the
  36.    support of ongoing European sales of popular models such as the A4000T
  37.    and the A1200 as well as the current developments and future releases
  38.                           of Amiga Technologies."

  40.      Petro Tyschtschenko, president of Amiga Technologies stated "I am
  41.     looking forward to being able to take advantage of the research and
  42.       development support potential that an Amiga-related company like
  43.                            VIScorp can provide."

  45.     Commenting that the primary objective of the proposed acquisition is
  46.        to give VIScorp full access to the Amiga technology to support
  47.     development of its ITV device, Mr. Buck noted: "Our intention is to
  48.     rapidly develop and begin manufacturing TV set-top interactive boxes
  49.       -- products that give home users capabilities such as telephone
  50.         reception and dial up capabilities, facsimile, video games,
  51.    pay-per-view options, electronic mail, and access to on-line services,
  52.                           including the Internet."

  58.   VISCORP will AMIGA TECHNOLOGIES von ESCOM übernehmen

  61.    Information Services Corporation haben eine Absichtserklärung über den
  62.        Verkauf der bisherigen ESCOM-Tochter Amiga Technologies GmbH,
  63.     Bensheim, unterzeichnet. Die in Chicago ansässige VIScorp entwickelt
  64.    und produziert interaktive TV (ITV) Set-Top-Boxen zur Erweiterung der
  65.            TV-Anwendungsmöglichkeiten durch Einbeziehung moderner
  66.       Kommunikationsmittel. Mit dem geplanten Verkauf will sich ESCOM
  67.          stärker auf sein Kerngeschäft, den Computer-Einzelhandel,
  68.                                konzentrieren.

  70.     Nach der Absichtserklärung wird VIScorp die Amiga Technologies GmbH
  71.    mit dem geistigen Eigentum der ehemaligen Commodore Business Machines
  72.               von ESCOM erwerben. Ausgenommen hiervon sind die
  73.    Commodore-Markenrechte. Der Wert der Transaktion beläuft sich auf etwa
  74.      40 Millionen US-Dollar. Der anstehende Erwerb steht noch unter dem
  75.        Vorbehalt der Zustimmung der Aufsichtsräte beider Unternehmen.

  77.       "Der geplante Kauf ist Teil der VIScorp-Strategie, die sich die
  78.     Marktführung in dem schnell wachsenden ITV-Bereich zum Ziel gesetzt
  79.     hat", erläutert William Buck, der Vorstandsvorsitzende von VIScorp,
  80.      die geplante Übernahme der Amiga Technologies GmbH. Der Besitz des
  81.          gesamten geistigen Eigentums von Amiga umfaßt verschiedene
  82.    Technologien, die VIScorp in ihrer Settop-Box Electronic Device (ED®)
  83.       verwendet. Vorteile für VIScorp sieht Buck vor allem im direkten
  84.         Zugriff auf Amiga-Einrichtungen und sowohl Liefer- als auch
  85.                                Vertriebswege.

  87.       Der Vorstandsvorsitzende der ESCOM AG, Helmut Jost, begrüßt die
  88.     anstehende Übernahme durch VIScorp - ein Unternehmen, das mit einer
  89.      klar definierten Strategie das Potential der Amiga-Technologie für
  90.    ITV-Applikationen nutzen will. VIScorp wird den europäischen Vertrieb
  91.    der Amiga-Modelle A4000T und A1200 und derzeitig laufende Projekte der
  92.                    Amiga Technologies GmbH weiterführen.

  94.      Für die Amiga Technologies GmbH bedeutet die angestrebte Übernahme
  95.    durch VIScorp den Vorteil, das Potential aus Forschung und Entwicklung
  96.      eines mit der Amiga-Technologie arbeitenden Unternehmens nutzen zu
  97.         können. VIScorp plant die Nutzung der Amiga-Technologie zur
  98.       Weiterentwicklung von interaktiven TV Set-Top-Boxen mit breitem
  99.                      Anwendernutzen für private Kunden.
